Welcome to Shurq. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and Shurq Ltd ("Shurq," "Company," "we," "us," "our"), a company registered in England and Wales.
By accessing, browsing, or using our website located at shurq.com, our platform, mobile applications, APIs, or any other services we provide (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Services on behalf of an organization or entity ("Organization"), you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In such cases, "you" and "your" will refer to both you individually and the Organization.
Important: If you do not agree to these Terms, you must not access or use the Services. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "Account" means the user account you create to access and use the Services.
- "Amazon Data" means any data, information, or content obtained through the Amazon Selling Partner API or Amazon Advertising API in connection with your Amazon Seller Central account.
- "Content" means any text, graphics, images, software, audio, video, data, information, or other materials.
- "Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, and other proprietary rights.
- "Services" means the Shurq platform, website, applications, APIs, tools, and all related services provided by Shurq.
- "Subscription" means your paid subscription to access and use the Services under a specific plan.
- "User Content" means any Content that you submit, upload, or transmit through the Services.
- "User Data" means any data, including Amazon Data, that is processed through the Services on your behalf.
3. Description of Services
Shurq provides a comprehensive analytics and advertising management platform designed specifically for Amazon sellers. Our Services enable you to analyze your Amazon business performance, optimize advertising campaigns, track keywords, and make data-driven decisions.
3.1 Core Features
The Services include, but are not limited to:
- Dashboard Analytics: Real-time and historical analytics for sales, revenue, advertising performance, and profitability metrics.
- Ad Manager: AI-powered advertising campaign management, bid optimization, and performance tracking for Sponsored Products, Sponsored Brands, and Sponsored Display campaigns.
- Search Intelligence: Search term analysis, keyword discovery, and search query performance reports.
- Stream Analytics: Near real-time data streaming for rapid insights and trend detection.
- Campaign Factory: Bulk campaign creation, management, and optimization tools.
- Keyword Tracker: Organic and sponsored keyword rank tracking across multiple marketplaces.
3.2 Service Availability
We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our reasonable control. We will make reasonable efforts to provide advance notice of scheduled downtime.
3.3 Service Modifications
We reserve the right to modify, update, or discontinue any aspect of the Services at any time. We will provide reasonable notice of material changes that may adversely affect your use of the Services. Your continued use of the Services after such modifications constitutes acceptance of the modified Services.
4. Account Registration and Security
4.1 Eligibility
To use the Services, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Services under applicable laws
- Have a valid Amazon Seller Central account in good standing
4.2 Account Creation
To access the Services, you must create an Account by providing accurate, current, and complete information as requested during the registration process. You agree to promptly update your Account information to keep it accurate, current, and complete.
4.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your Account credentials, including your password
- All activities that occur under your Account
- Immediately notifying us of any unauthorized use of your Account or any other security breach
- Ensuring that you log out from your Account at the end of each session
We recommend enabling two-factor authentication (2FA) for enhanced security. You acknowledge that you are solely responsible for any damages or losses arising from your failure to maintain the security of your Account.
4.4 Account Sharing
Your Account is personal to you or your Organization. You may not share your Account credentials with any third party. If you need multiple users to access the Services, you must add them as authorized users under your subscription plan (where supported) or obtain separate subscriptions for each user.
5. Amazon API Integration
5.1 Authorization
To use the core features of the Services, you must authorize Shurq to access your Amazon Seller Central account through Amazon's official APIs (including the Selling Partner API and Amazon Advertising API). By granting this authorization, you:
- Confirm that you have the authority to grant such access
- Acknowledge that you have read and agreed to Amazon's API Terms of Service
- Understand that your use of the Services is also subject to Amazon's policies
- Agree to maintain your Amazon account in good standing
5.2 Data Access and Use
When you connect your Amazon account, we access and process your Amazon Data to provide the Services. We:
- Request only the minimum necessary API permissions
- Use read-only access by default unless you explicitly authorize otherwise
- Never make changes to your Amazon account without your explicit confirmation
- Process your data in accordance with our Privacy Policy and Amazon's data protection requirements
5.3 Amazon Compliance
You acknowledge that your use of the Services must comply with all applicable Amazon policies, including the Amazon Services Business Solutions Agreement, Selling Partner API Terms of Service, and Amazon Advertising API License Agreement. We are not responsible for any actions taken by Amazon regarding your seller account.
5.4 API Limitations
The Services depend on data received through Amazon's APIs. Amazon may change, limit, or discontinue API access at any time. We are not liable for any disruption, limitation, or unavailability of the Services caused by changes to Amazon's APIs or policies.
6. Subscription and Payment
6.1 Subscription Plans
We offer various subscription plans (such as Core, Pro, Max, and Enterprise) with different features, capabilities, and pricing. The current details of each plan are available on our pricing page. We reserve the right to modify our plans and pricing at any time with reasonable notice.
6.2 Billing
Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected billing cycle). By subscribing, you authorize us to charge your designated payment method for the applicable subscription fees.
- Monthly Billing: Charged on the same date each month
- Annual Billing: Charged once per year on your subscription anniversary
- Payment Methods: We accept major credit cards and other payment methods as indicated during checkout
6.3 Price Changes
We may change our subscription prices from time to time. For existing subscribers, price changes will take effect at the start of the next billing cycle following notice of the change. If you do not agree to a price change, you may cancel your subscription before the change takes effect.
6.4 Taxes
All fees are exclusive of applicable taxes (including VAT, sales tax, or other similar taxes) unless stated otherwise. You are responsible for paying any applicable taxes. If we are required to collect or pay taxes, such taxes will be added to your invoice.
6.5 Failed Payments
If a payment fails, we will attempt to charge your payment method again and notify you of the failure. If payment is not received within a reasonable period, we may suspend or terminate your access to the Services. You remain responsible for any uncollected amounts.
6.6 Refunds
Monthly Plans: We offer a 60-day money-back guarantee on monthly subscriptions. If you are not satisfied with the Services within the first 60 days, you may request a full refund. You may also cancel at any time, and your subscription will remain active until the end of the current billing period.
Annual Plans: Annual subscriptions are non-refundable.
7. Free Trial
7.1 Trial Period
We offer a free trial period of 30 days that allows you to evaluate the Services before committing to a paid subscription. During the trial, you will have access to all features included in the selected plan.
7.2 No Credit Card Required
No credit card or payment information is required to start the free trial. You may upgrade to a paid subscription at any time during or after the trial period.
7.3 Trial Expiration
At the end of the free trial, your access to paid features will be suspended unless you upgrade to a paid subscription. Your data will be retained for a reasonable period to allow you to subscribe and continue using the Services.
7.4 Trial Limitations
Free trials are limited to one per user and per Organization. We reserve the right to limit, modify, or discontinue the free trial offer at any time.
8. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
8.1 Prohibited Activities
- Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
- Violate Amazon's Terms of Service, policies, or guidelines
- Access or attempt to access another user's account without authorization
- Interfere with, disrupt, or overload the Services or connected servers/networks
- Attempt to probe, scan, or test the vulnerability of the Services or breach security measures
- Use automated scripts, bots, or other means to access the Services in a manner that exceeds reasonable use
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services
- Copy, modify, distribute, sell, or lease any part of the Services or included software
- Remove, alter, or obscure any proprietary notices on the Services
- Use the Services to develop a competing product or service
- Share your account credentials with unauthorized third parties
- Engage in any activity that could harm Shurq, other users, or third parties
8.2 Consequences of Violation
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your Account, at our sole discretion. We may also pursue legal remedies for any damages caused by your violation of these Terms.
9. Intellectual Property
9.1 Our Intellectual Property
The Services, including all Content, features, functionality, software, text, displays, images, video, audio, design, selection, and arrangement thereof, are owned by Shurq, its licensors, or other providers and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property laws.
The Shurq name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Shurq or its affiliates. You may not use such marks without our prior written permission.
9.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include any right to:
- Resell or make commercial use of the Services
- Modify or make derivative works based on the Services
- Download or copy account information for another party's benefit
- Use data mining, robots, or similar data gathering tools
9.3 Feedback
If you provide us with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Services without any obligation to you.
10. User Content and Data
10.1 Your Data
You retain all ownership rights in your User Data. By using the Services, you grant us a limited license to access, process, and use your User Data solely for the purpose of providing the Services to you.
10.2 Data Processing
We process your User Data in accordance with our Privacy Policy and applicable data protection laws. We implement appropriate technical and organizational measures to protect your data against unauthorized access, loss, or destruction.
10.3 Data Export
You may export your User Data from the Services at any time through the features provided in your Account dashboard. Upon termination of your Account, you will have a limited period to export your data before it is deleted.
10.4 Aggregated Data
We may use anonymized, aggregated data derived from your use of the Services for analytics, benchmarking, product improvement, and other lawful purposes. Such aggregated data will not identify you or your Organization.
11. Confidentiality
11.1 Confidential Information
"Confidential Information" means any non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.
11.2 Obligations
Each party agrees to:
- Protect the other party's Confidential Information using at least the same degree of care used to protect its own confidential information
- Not disclose Confidential Information to any third party except as necessary to provide or use the Services
- Use Confidential Information only for purposes related to these Terms
11.3 Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully known before receipt; (c) is rightfully obtained from a third party without breach; or (d) is required to be disclosed by law.
12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SHURQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
- WARRANTIES THAT THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE
- WARRANTIES THAT ANY ERRORS IN THE SERVICES WILL BE CORRECTED
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA OR INFORMATION
WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS. ANY RELIANCE ON THE SERVICES IS AT YOUR OWN RISK.
13. Limitation of Liability
Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHURQ, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
- COST OF PROCUREMENT OF SUBSTITUTE SERVICES
- DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES
- DAMAGES ARISING FROM ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO SHURQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF SHURQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14. Indemnification
You agree to indemnify, defend, and hold harmless Shurq and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your access to or use of the Services
- Your violation of these Terms
- Your violation of any third-party rights, including Amazon's terms and policies
- Your violation of any applicable laws or regulations
- Any User Content you submit or transmit through the Services
- Any claims that your use of the Services caused damage to a third party
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of such claims.
15. Termination
15.1 Termination by You
You may terminate your Account and subscription at any time through your Account settings or by contacting us. Upon termination:
- Your subscription will remain active until the end of the current billing period
- No refunds will be provided for unused portions of monthly subscriptions
- Annual subscriptions may be eligible for a prorated refund if terminated within the money-back guarantee period
15.2 Termination by Shurq
We may suspend or terminate your Account immediately, without prior notice or liability, if:
- You breach any provision of these Terms
- You fail to pay applicable fees when due
- We are required to do so by law
- We discontinue the Services or any material portion thereof
- Your continued use poses a security risk to the Services or other users
15.3 Effect of Termination
Upon termination:
- Your right to access and use the Services ceases immediately
- All licenses granted to you under these Terms terminate
- You must cease all use of the Services and any related materials
- We may delete your Account and User Data in accordance with our Privacy Policy
- Any outstanding payment obligations remain due
15.4 Survival
The following provisions survive termination: Definitions, Intellectual Property, Confidentiality, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature should survive.
16. Dispute Resolution
16.1 Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first contact us at legal@shurq.com to attempt to resolve any dispute informally. We will endeavor to resolve disputes within 30 days of receiving notice.
16.2 Arbitration (For Non-EU Users)
If you are not located in the European Union, any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be finally settled by binding arbitration in London, United Kingdom, in accordance with the LCIA Arbitration Rules. The arbitration shall be conducted by a single arbitrator, and the language shall be English.
16.3 EU Users
If you are located in the European Union, you may bring any dispute before the competent courts of your country of residence, or you may use the European Commission's Online Dispute Resolution platform available at ec.europa.eu/consumers/odr.
16.4 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND SHURQ AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. This choice of governing law does not affect your statutory rights as a consumer under the mandatory consumer protection laws of your country of residence.
Subject to the dispute resolution provisions above, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of England and Wales, and you consent to the personal jurisdiction of such courts.
18. Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last Updated" date at the top of these Terms
- Post the revised Terms on our website
- Notify you of material changes via email or through the Services
Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. If you do not agree to the revised Terms, you must stop using the Services and may terminate your Account.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Shurq regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
19.2 Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Shurq.
19.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, deemed severed from these Terms. The remaining provisions shall continue in full force and effect.
19.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms without restriction. Any attempted assignment in violation of this section shall be null and void.
19.5 Notices
Notices to you may be sent via email to the address associated with your Account. Notices to us should be sent to legal@shurq.com. Notices are deemed given when sent by email, provided no delivery failure notification is received.
19.6 Force Majeure
We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
19.7 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights, except that Amazon and other platforms may enforce provisions relating to their services.
