Shurq explicitly prohibits its direct competitors from accessing or using the service without prior written authorization. We reserve the right to update this Agreement at any time. If material changes occur, we will notify you via email or in-app notifications. Continued use of the service after modifications constitutes acceptance of the updated Terms.

1. Definitions
- User: Any individual authorized to access or use Shurq.
- Customer: Customer denotes the entity agreeing to these Terms and is accountable for the actions of its Affiliates and Users.
- Order Form: Order Form is a written document executed between the Customer and Shurq, specifying the services purchased, fees, and other relevant terms.
- Affiliate: Affiliate is any entity directly or indirectly in control, controlled by, or under common control with the subject entity, including the Customer.
- Customer Data: Customer Data includes data and information made available by the Customer to Shurq through the services. For clarity, Customer Data excludes any Content.
- Usage Data: Usage Data is any data and information generated through the Customer's use of the services or obtained in aggregated, non-identifiable form from the processing of Customer Data. Usage Data does not include Personal Information.
- Personal Information: Personal Information is any information that identifies or could identify a natural person, in line with applicable Privacy Laws, including GDPR, UK Data Protection Act 2018, and CCPA.
- Services: Services refers to the features and functionalities of Shurq, as described in the Order Form.
- Subscription Term: Subscription Term is the period of service access as defined in an Order Form.
- Outside Platform: Outside Platform refers to any third-party service integrated with Shurq, including but not limited to Amazon, payment processors, and other external providers.
- Malicious Code: Malicious Code includes any harmful software such as viruses, worms, trojans, or any code intended to disrupt, damage, or gain unauthorized access to a system.
2. User Access & License
Upon agreeing to these Terms, you receive a limited, non-exclusive, non-transferable license to use Shurq strictly for internal business purposes during the Subscription Term.
2.1 Service Availability & Support
Shurq will:
- Provide 24/7 access, except during maintenance or force majeure events.
- Offer standard support at no extra cost (premium support is available upon request).
- Ensure compliance with all applicable laws, including GDPR and CCPA.
2.2 Customer Responsibilities
You agree to:
- Maintain the confidentiality of your account credentials.
- Use the service in compliance with all applicable laws.
- Not share access with unauthorized third parties.
- Not introduce Malicious Code or disrupt service performance.
Violations may result in account suspension or termination.
3. Data Usage & Privacy Compliance
3.1 GDPR & CCPA Compliance
Shurq follows GDPR, UK Data Protection Act 2018, and CCPA regulations by:
- Processing Personal Information only with a lawful basis (e.g., contractual necessity, consent, or legitimate interest).
- Providing Users the right to:
- Access, update, or delete their data.
- Request data portability.
- Opt out of data collection (where applicable).
- File complaints with regulatory bodies.
3.2 Amazon API Compliance
Shurq does not:
- Sell or distribute Amazon customer data.
- Aggregate data across multiple Users' accounts for resale.
- Modify or manipulate product reviews or rankings.
- Use insights for any purpose beyond service delivery.
4. Third-Party Services & Integrations
- Shurq integrates with Amazon, payment processors, and analytics providers.
- You acknowledge that third-party services have their own privacy policies.
- Shurq is not responsible for data handling by third-party platforms.
5. Fees & Payment Terms
5.1 Billing & Payment
- Fees are billed monthly based on the selected plan.
- Payments are due upon invoice receipt and must be settled using valid payment methods.
- Late payments may result in:
- Service suspension after 7 days.
- A late fee of 1.5% per month or the maximum allowed by law.
5.2 Refunds & Cancellations
- Services are billed in advance and are non-refundable.
- You may cancel at any time, but no refunds will be issued for unused portions.
6. Intellectual Property
Shurq retains ownership of all software, branding, and services. You may not:
- Reverse-engineer, resell, or distribute Shurq's platform.
- Use any Shurq trademarks, logos, or branding without prior written consent.
- Modify or replicate Shurq's software for commercial use.
Customer Data remains your property, and we process it solely for service functionality.
7. Confidentiality & Security
Both parties must:
- Maintain the confidentiality of sensitive information.
- Not disclose any proprietary or trade secrets without prior consent.
- Ensure that security measures are in place to protect shared data.
If a data breach occurs, Shurq will notify affected users as required by law.
You must notify Shurq immediately if you suspect unauthorized account access.
8. Limitations & Liability Disclaimer
8.1 No Warranties
Important Legal Notice
Shurq is provided "as-is" with no guarantees of uninterrupted service.
We disclaim all implied warranties, including merchantability, fitness for purpose, and non-infringement.
8.2 Limitation of Liability
Shurq is not liable for indirect, incidental, or consequential damages.
Maximum liability for any claim shall not exceed fees paid in the past 12 months. These limitations may not apply where prohibited by law.
9. Dispute Resolution & Governing Law
9.1 Arbitration Agreement
Any disputes will be resolved via binding arbitration, waiving the right to litigation. Arbitration will occur under the laws of the European Union.
9.2 No Class Actions
Both parties waive the right to participate in class-action lawsuits.
10. Miscellaneous
10.1 Force Majeure
Neither party is liable for service failures due to natural disasters, cyber-attacks, government actions, or other unforeseen events.
10.2 Amendments
Changes to these Terms require written approval by both parties.
10.3 Assignment Restrictions
You may not transfer your rights under this Agreement without our consent.
10.4 Severability
If any clause is unenforceable, the remainder of the Agreement remains valid.
